Please read this EULA carefully. By accessing, registering for or using any part of the Graphwise Experience Area, you agree to be bound by the terms of this EULA and the Graphwise Privacy Policy, available at https://graphwise.ai/privacy-policy. If you do not agree to these terms, do not access, register for or use any part of the Graphwise Experience Area.
This EULA is a legal agreement between you (an individual “User“) and a group of companies consisting of (i) ONTOTEXT AD, registered in the Bulgarian Commercial Register with UIC 200421236, VAT number: BG200421236, with headquarters in 1784 Sofia, Bulgaria, company address: 111R Tsarigradsko Shosse blvd. Synergy Tower, fl. 12;. Graphwise also may refer to(ii) Ontotext USA Inc, 1115 Broadway, 16 Madison Square West, New York, NY 10010;, and (iii) Semantic Web Company GmbH, an Austrian corporation, registered at Austrian Register of Commercial Companies of the Commercial Court of Vienna no 323939g, VAT Identification number ATU 64867647, with headquarters in Neubaugasse 1, Top 8, 1070 Vienna, doing business together as Graphwise (the “Licensor”)
1. Definitions and Scope
The “Experience Area” refers to the comprehensive suite of evaluation and educational tools provided by Licensor, including without limitation:
The Demo Area: Interactive software demonstrators, provided for exploration.
The Graphwise Academy: An educational platform offering learning paths and video courses.
The Graphwise Sandbox: GraphDB environments designed for temporary technical evaluation.
2. Grant of License
Subject to User’s compliance with this EULA, Licensor grants User a personal, non-exclusive, non-transferable, revocable, and limited license to access and use the Experience Area solely for internal evaluation, self-education and non-commercial testing purposes.
3. Account Management & Data Deletion
User acknowledges that access to the Experience Area relies on a centralized identity system and that deleting their centralized account via the account settings will automatically apply to the Experience Area, resulting in the immediate removal of their access and associated profile.
If User exercises their “right to be forgotten”, as further outlined in the Graphwise Privacy Policy, by contacting Licensor at legal@graphwise.ai and info@graphwise.ai, User acknowledges that such request is comprehensive and will result in the deletion of the User’s Experience Area account, along with any associated data processed by Licensor, thus losing access to the Experience Area.
4. Licensor’s Unilateral Rights & Discretion
User acknowledges that the Experience Area is a dynamic, free-to-use evaluation environment. Accordingly, User acknowledges and agrees that Licensor retains the following rights:
Licensor reserves the absolute right, at its sole discretion and without prior notice or liability, to unilaterally suspend, terminate, or restrict User’s access to the Experience Area, or any specific component thereof at any time for any reason.
Licensor may, at its sole discretion, modify, replace, update, or remove any product, demonstrator, course material, feature, dataset, or capability. User acknowledges that the Experience Area products are provided “as-is” and may change significantly without warning.
5. Experience Area Usage General Restrictions
The following restrictions apply globally to the User’s access to and use of the Experience Area and any component contained therein. :
The license granted herein is exclusively for non-commercial purposes. User is expressly prohibited from using any Experience Area components for:
- Any revenue-generating activity or commercial business operations.
- Professional consulting or providing services to third parties.
- Developing, training or refining any product, software or AI model intended for commercial sale or license.
- Internal production use where the software supports actual business transactions or decision-making.
- Publishing, disclosing, or making available any performance benchmarks, comparative analyses, or evaluation results relating to any Graphwise Area component without Licensor’s prior written consent.
User is strictly prohibited from using any Graphwise Area components in its Production Environments, defined herein as a software instance that has reached its final deployment stage and is utilized by its intended end-users.
User shall not decompile, reverse engineer, or attempt to derive the source code of any product in the Experience Area.
User shall not interfere with or disrupt the integrity or performance of the Experience Area, including but not limited to introducing viruses, worms, Trojan horses, or other malicious code or attempting to gain unauthorized access to the related systems or networks.
User shall comply with all applicable export control, sanctions, and trade restriction laws.
The Experience Area is a public demonstration platform. User should not upload, input or store any sensitive, personal or proprietary data. User remains solely responsible for any data uploaded or processed within the Experience Area. Licensor explicitly disclaims any responsibility for any data provided by User.
6. Graphwise Sandbox Specific Terms
The Sandbox utilizes GraphDB technology. Accordingly, User’s access to the Sandbox is governed by the GraphDB End User License Agreement, available at: https://graphdb.ontotext.com/LICENSE-GraphDB.txt (the “General GraphDB EULA“).
In the event of any contradiction, inconsistency or conflict between the terms of this EULA and the General GraphDB EULA regarding the use of the Sandbox/GraphDB software, the terms of this EULA shall control and prevail.
7. Proprietary Rights & Content Ownership
The Experience Area, including but not limited to all underlying software, demonstrators, course materials, videos, datasets, documentation, and user interfaces contained therein, is the exclusive property of Licensor. User acknowledges that this EULA grants only a limited license and no ownership rights. User is strictly prohibited from recording, reproducing, redistributing, selling, licensing, framing, scraping, or creating derivative works from any content or materials found within the Experience Area.
8. Disclaimer of Warranties
THE EXPERIENCE AREA AND ALL SERVICES THEREIN ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND. LICENSOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL LICENSOR BE LIABLE FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA OR BUSINESS INTERRUPTION, ARISING OUT OF THE USE OR INABILITY TO USE THE EXPERIENCE AREA. NOTHING IN THIS AGREEMENT SHALL EXCLUDE OR LIMIT LIABILITY TO THE EXTENT SUCH LIABILITY CANNOT BE EXCLUDED OR LIMITED UNDER APPLICABLE LAW.
10. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Republic of Bulgaria, without regard to its conflict of law principles. The parties hereby irrevocably consent to the exclusive jurisdiction and venue of the competent courts located in Sofia, Bulgaria, for the resolution of any disputes arising out of or relating to this EULA.
11. Miscellaneous
This EULA constitutes the entire agreement between the parties and supersedes all prior understandings. If any provision is held invalid or unenforceable, the remaining provisions shall continue in full force. No waiver of any breach shall constitute a waiver of any prior, concurrent, or subsequent breach.
