Terms of Use

1. Acceptance of Terms

Thank you for visiting the Graphwise website (the “Site”), operated by Graphwise (“we,” “us,” or “Graphwise”). These Terms of Use (“Terms”) form a binding agreement between you and Graphwise. By accessing or using the Site, including browsing its content or accessing gated materials, you accept these terms in full. Your use of the Site is also governed by our Privacy Policy, incorporated herein by reference.

2. Changes to Terms

We may update these Terms at any time by posting the revised version on the Site. Continued use of the Site after such changes constitutes your acceptance of the updates.

3. Information Accuracy

Content on the Site, including but not limited to blog posts, AI Summit videos and white papers, is for general informational purposes only. We do not guarantee its accuracy, completeness, or timeliness. 

4. License and Access

By using the Site, you represent and warrant that you are at least 18 years of age and have the legal capacity to enter into these Terms. We grant you a limited, non-exclusive, non-transferable license to access and view the Site solely for your internal research and personal, non-commercial use. Without our prior written consent, you may not reproduce, duplicate, distribute, sell, resell, or commercially exploit any portion of the Site in any manner.

5. Prohibited Activities

You agree to use the Site only for lawful purposes and in a manner that does not infringe the rights of others. Specifically, you agree not to:

  • Use bots, spiders, or other automated tools to scrape or extract data from the Site without our prior written authorization.
  • Attempt to reverse-engineer, decompile, or modify any software, interactive demos, or proprietary code, or attempt to probe, scan, or test the vulnerability of our network and security measures.
  • Use proprietary information or content obtained from the Site to develop or improve a competing service or product.
  • Use Site content, data, or metadata for the purpose of training, fine-tuning, or testing artificial intelligence models, large language models or machine learning systems without an explicit license from Graphwise.
  • Use the Site in any way that violates applicable laws, promotes illegal activities, or interferes with the proper working of the Site for other users.

6. Intellectual Property

All rights, title, and interest in and to the Site, including all copyrights, trademarks, trade secrets, and proprietary materials are owned exclusively by Graphwise. Except for the limited access license granted in Section 4, nothing in these Terms shall be construed as conferring any transfer of ownership or additional rights. The use of Graphwise logos, trademarks, or proprietary graphics for any purpose is strictly prohibited.

7. User Content and Feedback

To the extent the Site allows you to post comments, questions, or other materials (“User Content”), you retain any ownership rights you hold in such content. However, by submitting User Content, you grant Graphwise a non-exclusive, royalty-free, worldwide, sublicensable, and transferable license to use, reproduce, distribute, and display such content in connection with the operation, promotion, and improvement of the Site and our business services.

Additionally, if you provide Graphwise with any suggestions, enhancement requests, or other feedback relating to our services (“Feedback”), you hereby grant Graphwise an irrevocable, perpetual, and royalty-free license to use and incorporate such Feedback into our products and services without any obligation of attribution or compensation to you. 

8. Confidentiality

Information from restricted Site areas (e.g., lead forms, gated technical resources or partner materials) is confidential. You agree not to disclose or exploit such information commercially.

9. Suspension

Graphwise reserves the right, in its sole discretion, to suspend your access to the Site immediately and without prior notice, for any reason, including, without limitation, a breach of these Terms.

10. Disclaimers

The Site is provided “AS IS” and “AS AVAILABLE” without warranties of any kind, express or implied- including merchantability, fitness for a purpose or uninterrupted access. 

11. Indemnification

You agree to indemnify, defend and hold harmless Graphwise, its officers, directors, and affiliates from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Any inappropriate use, misuse or unauthorized exploitation of the Site’s content, including but not limited to Summit videos and proprietary data;
  • Your violation of these Terms; or
  • Your infringement of any intellectual property or other third-party rights.

12. Limitation of Liability

To the maximum extent permitted by applicable law, you acknowledge and agree that the entire risk arising out of your access to and use of the Site and its content remains with you. Consequently, Graphwise and its affiliates or directors shall not be liable for any indirect, incidental, special, exemplary, or consequential damages, including, but not limited to, loss of profits, business, or goodwill; loss or corruption of data; service interruptions, system failures, or computer damage; or the costs of substitute products or services, regardless of the legal theory (contract, tort, or otherwise) and even if we have been previously advised of the possibility of such damages. 

Notwithstanding the foregoing, nothing in these Terms is intended to limit or exclude liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, gross negligence, intentional misconduct, or any other liability that cannot be limited or excluded under applicable laws.

13. Export Compliance

By using the Site, you represent and warrant that you are not located in a country subject to an embargo by the EU, US, or UN, and are not listed on any “denied parties” list. You agree to comply with all applicable export laws and regulations.

14. Severability

If any provision is held invalid or unenforceable by a court of competent jurisdiction, the remaining terms remain in full effect.

15. Governing Law and Jurisdiction

These Terms are governed by the substantive laws of the Republic of Bulgaria, excluding conflict-of-law rules. Any disputes shall be resolved exclusively in the competent courts of Sofia, Bulgaria.
